these terms apply to promoters, event organisers, venues and other businesses that use kryptickets.co.uk to list, promote, advertise, manage or sell tickets for events. by creating a promoter account, submitting an event for listing, uploading event content or selling tickets through the platform, the promoter agrees to be bound by these terms.
These Terms are between Kryptickets, whose office is at 35 Carlyle Street, Abertillery, NP13 1UE, trading through kryptickets.co.uk; and the promoter, event organiser, venue, business or other person accepted by Kryptickets to use the Platform to list, advertise, promote or sell tickets for an Event.
In these Terms, Kryptickets, we, us or our means Kryptickets Limited. Promoter, you or your means the person, company, partnership, organisation, association, venue, brand or event organiser using the Platform to list or promote an Event.
These Terms are business-to-business terms. By using the Platform, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession and not as a consumer.
Booking Fee means the fee charged and retained by Kryptickets in connection with each Ticket purchase, being 1.5% of the Transaction Value plus £1.20, unless otherwise agreed in writing.
Buyer means a person who purchases, reserves, receives or uses a Ticket through the Platform.
Buyer Terms means the terms and conditions applicable between Kryptickets, the Promoter and/or the Buyer in respect of ticket purchases made through the Platform — see our Buyer Terms & Refund Policy.
Chargeback means any card chargeback, payment reversal, refund claim, payment dispute, bank reversal, fraud claim, failed payment, payment provider deduction or similar payment challenge.
Event means any festival, rave, concert, club night, performance, party, entertainment event, cultural event, music event, sporting event, venue event or other event listed, advertised, promoted or sold through the Platform.
Event Content means all information, copy, descriptions, names, artwork, graphics, trade marks, logos, images, photographs, audio, video, promotional materials, age restrictions, event details, venue details, pricing, ticket descriptions, policies, terms, marketing claims and other materials uploaded, submitted or approved by the Promoter.
Feature Placement means any paid or unpaid enhanced placement, sponsored listing, homepage feature, promoted placement, highlighted position, top-four placement, recommended event placement, email feature, social media feature or other promotional position made available by Kryptickets.
Gross Ticket Receipts means the gross face-value ticket receipts received by Kryptickets for Tickets sold for an Event, excluding the Booking Fee and any other fees, charges or taxes charged by Kryptickets to Buyers.
Net Ticket Receipts means Gross Ticket Receipts less any Refunds, Chargebacks, deductions, set-offs, payment processing deductions, tax deductions, reserve amounts, adjustment amounts or other sums recoverable by Kryptickets under these Terms.
Platform means the website at kryptickets.co.uk, together with any related mobile site, application, dashboard, promoter portal, payment process, ticketing technology, customer communication system or other Kryptickets service.
Refund means any full or partial refund, reimbursement, compensation payment, ex gratia refund, goodwill refund, ticket cancellation refund or similar payment made or required to be made to a Buyer.
Services means the services provided by Kryptickets under these Terms, including allowing Promoters to list Events, sell Tickets, receive ticket sales, upload Event Content, access promoter tools, and apply for or receive Feature Placements.
Settlement means payment of Net Ticket Receipts by Kryptickets to the Promoter.
Sponsored Feature Fee means any fee agreed between Kryptickets and the Promoter for a paid Feature Placement.
Ticket means any ticket, e-ticket, wristband, booking, pass, entry right, QR code, guestlist place, admission product or other entitlement to attend an Event.
Transaction Value means the total face value of the Tickets purchased by a Buyer in a single transaction, excluding the Booking Fee, delivery charges, optional add-ons, donations, insurance and other charges unless otherwise stated by Kryptickets.
Kryptickets provides a ticketing and promotional platform. The Promoter is the organiser, supplier and principal responsible for the Event.
Unless Kryptickets expressly agrees otherwise in writing: the Promoter is solely responsible for organising, managing, delivering, licensing, staffing, operating and fulfilling the Event; the Promoter is solely responsible for the accuracy, legality and completeness of all Event Content; the Promoter is solely responsible for all Refunds arising from the Event; Kryptickets is not the organiser, producer, venue operator, security provider, licensing holder, performer, artist, insurer or guarantor of the Event; and Kryptickets does not assume responsibility for the performance, cancellation, postponement, safety, quality, legality or suitability of the Event.
Kryptickets may describe itself as a ticketing platform, ticketing agent, disclosed agent, marketplace, facilitator, booking platform or technology provider. Nothing in these Terms makes Kryptickets the Promoter’s employee, partner, joint venture partner, fiduciary, event co-promoter or guarantor.
The Promoter authorises Kryptickets to: list and advertise the Event on the Platform; sell Tickets for the Event on behalf of the Promoter; collect payments from Buyers; issue Tickets and booking confirmations; communicate with Buyers about their purchase and the Event; deduct and retain the Booking Fee; deduct or set off any amounts due from the Promoter to Kryptickets; and process Refunds, Chargebacks and customer service matters in accordance with these Terms and the Buyer Terms.
The Promoter must create and maintain a promoter account to use the Services, and must provide accurate, complete and up-to-date account information, including legal name, trading name, company number (if applicable), VAT number (if applicable), registered or trading address, contact details, bank account details, identity verification information, and any other information required by Kryptickets, its payment provider or applicable law.
Kryptickets may require the Promoter to complete onboarding, verification, fraud, anti-money laundering, sanctions, payment provider or “know your customer” checks before allowing the Promoter to list Events, receive Settlement or continue using the Services.
The Promoter warrants that all information provided to Kryptickets is true, accurate, complete and not misleading, and must keep its login credentials secure and confidential. The Promoter is responsible for all activity carried out through its account.
Kryptickets may refuse, suspend, restrict or terminate a promoter account if it reasonably considers that: the Promoter has provided inaccurate or misleading information; the Promoter has breached these Terms; the Promoter or Event presents a financial, legal, regulatory, reputational, fraud, safeguarding, safety or operational risk; the Promoter has failed verification checks; the Promoter is insolvent, unable to pay its debts or subject to enforcement action; the Promoter is subject to sanctions or restrictions; or suspension or termination is necessary to protect Kryptickets, Buyers, payment providers, artists, venues, suppliers or the public.
The Promoter may submit Events for listing on the Platform through the promoter dashboard or any other process specified by Kryptickets. Kryptickets may accept, reject, edit, suspend, remove or require changes to any Event listing at any time, and is not obliged to list any Event or guarantee that any Event will be approved, displayed, promoted, ranked, featured or sold.
Kryptickets may remove an Event listing without liability where it reasonably considers that the Event or Event Content: is unlawful, misleading, inaccurate or incomplete; may breach licensing, safety, planning, consumer protection, advertising, data protection, equality, safeguarding, anti-discrimination, intellectual property or other applicable laws; may cause harm, offence, nuisance, disorder, public safety risk or reputational damage; relates to an unauthorised, unlicensed or illegal event; infringes third-party rights; contains discriminatory, hateful, violent, pornographic, defamatory, threatening or otherwise unacceptable content; is associated with fraud, money laundering, scams, counterfeit tickets or suspicious activity; breaches venue, artist, supplier or local authority requirements; has generated excessive complaints, Chargebacks, Refunds or disputes; or otherwise presents an unacceptable risk to Kryptickets.
Kryptickets may require the Promoter to provide evidence of venue booking or consent, premises licence, temporary event notice or other licensing approval, insurance, artist/performer/supplier/rights-holder authority, security arrangements, risk assessments, age restrictions and safeguarding measures, ticket allocation authority, health and safety arrangements, cancellation and refund arrangements, and any other information reasonably required.
The Promoter is solely responsible for planning, organising, licensing, managing and delivering the Event, and must:
The Promoter must not: list an Event it is not authorised to promote or sell tickets for; sell more Tickets than permitted by venue capacity or relevant licence; provide false or misleading Event information; advertise performers, artists, venues, brands, sponsors or features without authority; state or imply that Kryptickets sponsors, endorses, organises or guarantees the Event unless agreed in writing; use Event Content that infringes third-party intellectual property rights; use the Platform to facilitate illegal raves, unlicensed events, unlawful gatherings, fraudulent ticket sales or unsafe events; manipulate ticket sales, rankings, reviews, popularity indicators or promotional systems; attempt to avoid or reduce the Booking Fee; encourage Buyers to circumvent the Platform after they have discovered the Event through the Platform; upload viruses, malware or harmful code; scrape, copy, reverse engineer or misuse the Platform; use Buyer data for unauthorised marketing; or act in a way that exposes Kryptickets to legal, regulatory, financial, reputational or operational risk.
The Promoter is solely responsible for all Event Content and warrants that it is accurate, complete, current and not misleading; complies with all applicable laws, regulations and advertising standards; does not infringe any copyright, trade mark, image right, moral right, database right, design right, performer right, passing off right, privacy right or other third-party right; does not contain defamatory, unlawful, discriminatory, offensive, obscene, threatening, hateful or harmful material; does not make claims that cannot be substantiated; does not imply endorsement without consent; does not misrepresent the Event; and is suitable for publication on the Platform.
The Promoter grants Kryptickets a worldwide, royalty-free, non-exclusive, transferable, sublicensable licence to use, copy, host, reproduce, display, publish, distribute, edit, resize, adapt, promote and communicate Event Content for the purposes of providing the Services, listing/advertising/promoting the Event, operating the Platform, sending customer communications, providing Feature Placements, using the Event in Kryptickets’ marketing channels, and exercising Kryptickets’ rights and obligations under these Terms.
Kryptickets may edit Event Content for formatting, layout, technical, spelling, grammar, moderation, compliance or user-experience purposes, and is not responsible for checking Event Content — editing does not reduce the Promoter’s responsibility. Kryptickets may remove or disable any Event Content at any time without liability.
The Promoter is responsible for setting the face value of each Ticket. Unless otherwise agreed in writing, Promoters do not pay Kryptickets a fee for standard Event listing and ticketing access.
Kryptickets is entitled to charge and retain the Booking Fee on each Ticket transaction, calculated as 1.5% of the Transaction Value plus £1.20. The Booking Fee is consideration for the Platform, booking technology, transaction handling, ticket issuing, customer booking infrastructure and related services, and — unless Kryptickets expressly states otherwise — is charged to the Buyer in addition to the Ticket face value and retained by Kryptickets.
The Booking Fee is non-refundable except where: Kryptickets is required by applicable law to refund it; Kryptickets decides, in its sole discretion, to refund it as a goodwill gesture; the refund is required because of Kryptickets’ material error; or the Buyer Terms expressly state otherwise. The Promoter must not describe the Booking Fee as refundable unless Kryptickets has agreed this in writing.
The Promoter must not impose any additional compulsory fee, charge, levy or cost on Buyers unless Kryptickets has approved it in writing, it is lawful, it is clearly and prominently disclosed to Buyers, and it complies with applicable consumer protection and price transparency rules.
Kryptickets may determine how Ticket prices, Booking Fees and other charges are displayed on the Platform. The Promoter must promptly provide all pricing, tax, fee and charge information required by Kryptickets.
Promoters may request a paid Feature Placement for an Event. Any paid Feature Placement is subject to Kryptickets’ approval, availability, payment of the agreed Sponsored Feature Fee, any agreed campaign details, and these Terms.
Unless otherwise agreed in writing, Sponsored Feature Fees are payable in advance or may be deducted from Net Ticket Receipts, and are non-refundable once a Feature Placement has started unless Kryptickets cancels it without cause.
Kryptickets does not guarantee that a Feature Placement will generate any particular number of views, clicks, impressions, sales, conversions, revenue, ranking position or profit, and may label paid placements as sponsored, promoted, featured, advertisement or similar.
If an Event is one of the top four best-selling Events on the Platform, Kryptickets may automatically provide that Event with a Feature Placement at no cost to the Promoter. Kryptickets determines, in its sole discretion, how the “top four” are calculated, including the relevant time period, sales criteria, exclusions, fraud controls, ranking adjustments and display position.
Kryptickets may remove, change, pause or withdraw any Feature Placement at any time for legal, regulatory, technical, commercial, operational, editorial, reputational or risk-management reasons. A Feature Placement does not mean that Kryptickets endorses, sponsors, organises, guarantees or assumes responsibility for the Event.
The Promoter must provide accurate Ticket inventory and allocation information, and is responsible for ensuring that all Tickets made available through the Platform are valid, authorised and capable of being honoured.
Kryptickets may limit, cap, pause or stop Ticket sales at any time where it reasonably considers this necessary, and is not liable for lost sales, lost revenue or lost profit arising from Platform downtime, payment failure, Event listing suspension, inventory errors, promoter dashboard errors caused by the Promoter, rejection or removal of an Event, technical issues, fraud prevention measures, regulatory or compliance concerns, or circumstances outside Kryptickets’ reasonable control.
The Promoter must not sell or issue duplicate Tickets through another platform or channel in a way that causes overcapacity, duplication, entry refusal or Buyer disputes. Where the Promoter sells Tickets through multiple channels, it is solely responsible for capacity management and reconciliation.
The Promoter agrees that all Ticket sales through the Platform are subject to the Buyer Terms, and must comply with them insofar as they relate to the Promoter, the Event, Ticket validity, entry, restrictions, Event delivery, cancellation, postponement, Refunds, Buyer conduct and customer rights.
If there is a conflict between these Terms and the Buyer Terms in relation to the Promoter’s obligations to Kryptickets, these Terms shall prevail. The Promoter must not issue terms to Buyers that conflict with these Terms or the Buyer Terms unless Kryptickets has agreed those terms in writing. Kryptickets may update the Buyer Terms from time to time.
Kryptickets may collect payments from Buyers directly or through a third-party payment provider. The Promoter authorises Kryptickets and its payment providers to collect payments from Buyers and deduct all sums due under these Terms. Kryptickets will retain the Booking Fee, and subject to these Terms will pay the Promoter the Net Ticket Receipts.
Unless otherwise agreed in writing, Settlement will be made after the Event has taken place and once Kryptickets is reasonably satisfied that: the Event has taken place substantially as advertised; no material unresolved Refund, Chargeback, fraud, compliance, customer complaint or event delivery issue exists; Kryptickets has received cleared funds; the Promoter has provided accurate bank and verification details; no reserve, deduction, set-off or withholding is required; and the Promoter has complied with these Terms.
Kryptickets may withhold, delay, reduce or condition Settlement where: an Event is cancelled, postponed, relocated or materially changed; Buyer complaints, Refunds or Chargebacks have arisen or are likely to arise; fraud, unlawful activity, misrepresentation or breach of these Terms is suspected; the Promoter has failed verification checks or not provided required information; a payment provider withholds or reverses funds; a reserve is reasonably considered required; a dispute exists between the parties; Kryptickets is required to do so by law, regulator, court, bank, payment provider or enforcement authority; or the Promoter owes money to Kryptickets.
Kryptickets may hold a reserve from Gross or Net Ticket Receipts to cover actual or anticipated Refunds, Chargebacks, complaints, claims, tax issues, payment provider deductions, disputes, Event risks or other liabilities, and may set off against Settlement any amounts owed by the Promoter, including Refunds, Chargebacks, payment provider fees, Sponsored Feature Fees, indemnity amounts, damages, legal costs, overpayments, VAT/tax adjustments, administrative costs and any other amount due.
Settlement will be made to the bank account nominated by the Promoter — Kryptickets is not responsible for loss caused by inaccurate bank details supplied by the Promoter. The Promoter is responsible for all taxes, duties, levies and reporting obligations arising from Ticket sales, Event income and the Promoter’s activities. Kryptickets is responsible for accounting for VAT on the Booking Fee where applicable; the Promoter is responsible for VAT on Ticket face value and other Promoter charges.
Kryptickets may provide transaction reports, dashboards or settlement statements for convenience only, which may be updated, corrected or adjusted.
The Promoter is solely responsible for all Refunds relating to the Event, and must comply with the Buyer Terms and applicable law in relation to Refunds. Unless Kryptickets agrees otherwise, Refunds of Ticket face value will be funded by the Promoter.
If Refunds are required before Settlement, Kryptickets may deduct the Refund amount from Gross or Net Ticket Receipts. If Refunds are required after Settlement, the Promoter must reimburse Kryptickets immediately and in any event within 3 business days of demand.
The Booking Fee is non-refundable except where clause 8 above applies. Where Kryptickets is required by law, payment provider rules, card scheme rules, court order, regulator direction or goodwill decision to refund the Booking Fee in circumstances caused by the Promoter or the Event, the Promoter must reimburse Kryptickets for the Booking Fee and any associated costs.
Kryptickets may process Refunds where it agrees to do so; the Event is cancelled, postponed (and the Buyer is entitled to a refund) or materially changed; Kryptickets is required to do so by law, the Buyer Terms, a payment provider or card scheme; a Refund is reasonably considered necessary to reduce Chargebacks, complaints, regulatory risk or reputational damage; or as a goodwill gesture. The Promoter must not refuse a Refund where the Buyer is legally entitled to one.
Kryptickets may charge the Promoter reasonable administrative costs incurred in processing Refunds where the Refund is caused by the Promoter, the Event, Event Content or breach of these Terms.
The Promoter must notify Kryptickets immediately if an Event is or may be cancelled, postponed, rescheduled, relocated or materially changed. A material change includes change of date, venue, significant change to headline artist or advertised line-up, significant change to Event duration, change to age restriction, reduction in advertised facilities or access, change affecting accessibility, safety or legality, cancellation of a material advertised attraction, or any change that may reasonably affect a Buyer’s decision to attend.
The Promoter must provide Kryptickets with all information required to notify Buyers. Kryptickets may notify Buyers directly and may determine the content, timing and method of such communications.
If an Event is cancelled, the Promoter must fund all required Refunds. If an Event is postponed or materially changed, Kryptickets may require the Promoter to offer Buyers a Refund, ticket transfer, alternative date or other remedy.
If the Promoter fails to provide sufficient funds for Refunds, Kryptickets may withhold Settlement, use any reserve, set off against other Event funds, recover the amount as a debt, suspend the Promoter’s account, remove other Event listings, and/or take legal action.
The Promoter remains responsible for Refunds even where cancellation, postponement or material change is caused by circumstances outside the Promoter’s control. Kryptickets is not responsible for any costs incurred by Buyers in connection with the Event, including travel, accommodation, food, drink, parking, childcare, clothing, lost earnings or other expenses, unless required by law.
The Promoter is responsible for all Chargebacks relating to the Event, Event Content, Ticket validity, Event delivery, cancellation, postponement, entry refusal, Buyer complaints or Promoter breach. Kryptickets may deduct Chargebacks and associated costs from Settlement or recover them from the Promoter as a debt.
The Promoter must provide all information and evidence reasonably requested by Kryptickets to respond to a Chargeback, including evidence that the Event took place, scanning or attendance data, ticket validation records, Buyer communications, Event Content, venue confirmation, refund policy information, cancellation or postponement notices, and any other relevant evidence.
Kryptickets is not obliged to contest a Chargeback, and a decision not to contest one does not release the Promoter from liability. Where a Chargeback results in Kryptickets losing the Booking Fee, the Promoter must reimburse Kryptickets for that Booking Fee if the Chargeback arose from the Event, the Promoter, Event Content or the Promoter’s breach of these Terms.
The Promoter is responsible for Event entry management, and must ensure that valid Tickets issued through the Platform are accepted; staff are properly trained to validate Tickets; entry procedures are fair, safe and lawful; age restrictions are enforced; accessibility arrangements are honoured; customer service issues at the venue are handled appropriately; entry refusal is lawful and properly documented; and Kryptickets is notified of any significant entry issue.
The Promoter must not refuse entry to a Buyer holding a valid Ticket except where there is a lawful and reasonable basis for doing so, including safety, licensing, age restriction, intoxication, disorder, prohibited items, fraud, duplicate ticket use or breach of Event rules. The Promoter is responsible for all claims, complaints, Refunds and Chargebacks arising from wrongful entry refusal.
The Promoter must clearly state all age restrictions, ID requirements and entry conditions in the Event Content, and ensure that all age-restricted Events are operated in accordance with applicable law and licensing requirements. The Promoter must not list Events that involve unlawful, exploitative, abusive, unsafe or harmful activity.
The Promoter is solely responsible for safeguarding arrangements where an Event involves children, young people or vulnerable persons. Kryptickets may remove any Event it reasonably considers to present safeguarding, exploitation, harm, criminal, public order or reputational risk.
The Promoter must obtain and maintain all licences, permits, permissions and approvals required for the Event. These may include, where applicable: premises licence; temporary event notice; late-night refreshment authorisation; alcohol licence; live music permissions; public entertainment permissions; planning permissions; road closure permissions; police, local authority or safety advisory group approvals; PRS/PPL or other music licences; venue hire agreement; artist or performer agreements; public liability insurance; employer’s liability insurance; event cancellation insurance; and any other permission required for the Event.
The Promoter must provide copies of licences, permissions and insurance documents to Kryptickets on request, and must maintain adequate insurance for the Event, including public liability insurance with a level of cover appropriate to the Event. Kryptickets may refuse to list, suspend or remove an Event if the Promoter does not provide satisfactory evidence of required licences, permissions or insurance.
The Promoter must comply with all applicable laws, regulations, guidance and codes, including those relating to consumer protection; advertising and marketing; data protection and privacy; electronic marketing; ticketing and event promotion; health and safety; fire safety; licensing; alcohol; drugs and controlled substances; public order; anti-bribery and corruption; anti-money laundering; sanctions; equality and discrimination; accessibility; safeguarding; intellectual property; tax; and modern slavery.
The Promoter must not do anything that may cause Kryptickets to breach applicable law, and must promptly notify Kryptickets of any investigation, complaint, enforcement action, licence review, prohibition notice, safety issue, regulatory concern or legal claim relating to the Event.
The Promoter is responsible for ensuring that all Event Content and marketing claims are legal, decent, honest, truthful, accurate and capable of substantiation, including claims about artists, performers, venues, facilities, popularity, ticket availability, scarcity, sponsorship, affiliations, awards, reviews, pricing or experience.
The Promoter must not use fake scarcity, fake countdowns, fake popularity claims, misleading “selling fast” claims or other misleading pressure-selling tactics, and must not describe a Feature Placement in a way that misleads Buyers. Where the Promoter publishes paid or sponsored content, it must be clearly identifiable as advertising where required.
Kryptickets may require the Promoter to amend or remove any marketing content that Kryptickets reasonably considers may be unlawful, misleading or non-compliant.
Each party must comply with applicable data protection laws, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations.
Kryptickets will process Buyer personal data for purposes including operating the Platform, processing ticket purchases, issuing Tickets, payment processing, fraud prevention, customer service, Event communications, legal compliance, analytics, platform improvement, and Kryptickets’ own marketing where lawful. The Promoter may receive or access Buyer personal data for Event admission, ticket validation, guestlist management, Event safety, customer service, Event updates, Refund handling, legal compliance, and Promoter marketing only where lawful.
Unless otherwise agreed in writing, each party acts as an independent controller in relation to the personal data it independently determines to process. Where the Promoter receives Buyer personal data, the Promoter must: process it lawfully, fairly and transparently; use it only for legitimate Event-related purposes or other purposes for which it has a lawful basis; not use it for electronic marketing unless the Buyer has given valid consent or another lawful basis applies; not sell or share it with third parties except where lawful and necessary; keep it secure; restrict access to personnel who need to know it; delete or anonymise it when no longer required; comply with data subject rights; maintain appropriate records; notify Kryptickets promptly of any personal data breach affecting Buyer data; and indemnify Kryptickets for any breach of this clause.
The Promoter must provide any privacy information required by law and must not rely on Kryptickets’ Privacy Notice as covering the Promoter’s independent processing. Kryptickets may restrict, audit or withdraw the Promoter’s access to Buyer personal data where reasonably necessary. The Promoter must not export Buyer data outside the UK or EEA unless it has appropriate transfer safeguards in place.
Kryptickets and its licensors own all intellectual property rights in the Platform, Services, technology, software, databases, design, branding, trade marks, content, documentation, analytics and systems.
The Promoter must not copy, reproduce, modify, reverse engineer, scrape, decompile, disassemble, frame, mirror, sell, license, exploit or misuse any part of the Platform. The Promoter may use the Kryptickets name and approved logos solely to direct customers to the Event listing, provided such use complies with Kryptickets’ brand guidelines and does not imply endorsement, sponsorship or partnership. Kryptickets may withdraw permission to use its name or branding at any time.
The Promoter warrants that it owns or has permission to use all intellectual property in the Event Content, and indemnifies Kryptickets against all claims, losses, damages, liabilities, costs and expenses arising from any allegation that Event Content infringes third-party rights.
Kryptickets will use reasonable endeavours to make the Platform available but does not guarantee uninterrupted, error-free, secure or continuous access, and may suspend or restrict access for maintenance, updates, security, technical, legal, operational or business reasons. Kryptickets may change, update, remove, replace or discontinue any part of the Platform or Services at any time.
Kryptickets is not liable for Platform downtime, failed payments, delayed communications, email deliverability issues, loss of data caused by the Promoter, third-party service failures, payment provider failures, internet or hosting failures, cyberattacks despite reasonable security measures, loss of sales, or inability to access the promoter dashboard.
Kryptickets may determine how Events are ranked, displayed, recommended, searched, filtered, categorised, promoted or ordered on the Platform, influenced by factors including relevance, location, date, ticket sales, popularity, Event category, Buyer behaviour, Feature Placements, editorial choices, fraud prevention, compliance status, customer feedback, technical performance, availability, commercial arrangements, and Kryptickets’ business priorities.
Kryptickets does not guarantee any ranking, position, prominence, visibility or level of traffic, and may change ranking and display criteria at any time.
Kryptickets may allow Buyers or users to leave reviews, ratings, comments or other content about Events or Promoters, and may moderate, remove or refuse to publish such content but is not obliged to do so.
The Promoter must not submit fake reviews, incentivise misleading reviews, suppress genuine reviews unlawfully or manipulate ratings. Kryptickets is not responsible for user reviews or opinions except to the extent required by law.
Kryptickets may provide first-line customer support for booking and ticketing issues. The Promoter is responsible for dealing with Event-related complaints, including complaints about Event cancellation, postponement, line-up changes, venue changes, access or entry refusal, overcrowding, safety, facilities, accessibility, staff conduct, Event quality, Event delivery, Refund entitlement, and any promise made in Event Content.
The Promoter must respond promptly to customer service queries escalated by Kryptickets. Kryptickets may communicate with Buyers directly where it considers this necessary, and may take reasonable steps to protect Buyers and the Platform, including issuing Refunds, pausing sales, updating Event pages or notifying Buyers.
The Promoter is solely responsible for all taxes arising from Ticket face value, Event income, merchandise, sponsorship, food, drink, add-ons and other Promoter revenue, and must determine whether it is required to register for and account for VAT. The Promoter must not represent that Kryptickets is responsible for the Promoter’s taxes.
Kryptickets may request tax information from the Promoter and may withhold Settlement where required by law or where the Promoter has failed to provide necessary tax information. If Kryptickets suffers any tax liability, penalty, interest, cost or expense because of the Promoter’s failure to comply with tax obligations, the Promoter must indemnify Kryptickets.
The Promoter warrants that: it has authority to enter into these Terms and to list, promote and sell Tickets for the Event; it will comply with these Terms and applicable law; it will obtain and maintain all required licences, permissions and insurance; Event Content is accurate, lawful and not misleading; Tickets sold through the Platform will be valid and honoured; the Event will be delivered substantially as advertised; the Event will not infringe third-party rights; it will not use Buyer data unlawfully; it will fund all Refunds for which it is responsible; it will not expose Kryptickets to unnecessary legal, regulatory, financial or reputational risk; and it will not use the Platform for unlawful or fraudulent activity.
Kryptickets provides the Platform and Services on an “as is” and “as available” basis, and gives no warranty that the Platform will be uninterrupted or error-free, that the Event will sell any Tickets, that any Feature Placement will generate sales, that the Platform will meet the Promoter’s requirements, that it will be free from all bugs or vulnerabilities, or that any particular commercial outcome will be achieved.
The Promoter shall indemnify and keep indemnified Kryptickets, its directors, officers, employees, contractors, agents, group companies, payment providers and partners against all claims, demands, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses, including legal costs, arising out of or in connection with: the Event; Event cancellation, postponement, relocation or material change; Refunds; Chargebacks; Event Content; breach of these Terms or applicable law; failure to obtain licences, permissions or insurance; Event safety, security or crowd management issues; personal injury, death or property damage at or connected with the Event; Buyer complaints; wrongful entry refusal; overcapacity or duplicate ticketing; data protection breach by the Promoter; unlawful marketing by the Promoter; intellectual property infringement; tax liabilities of the Promoter; fraud, dishonesty, misrepresentation or negligence by the Promoter; claims by venues, artists, suppliers, authorities, regulators or Buyers; and any act or omission of the Promoter or its staff, contractors, agents, venues, suppliers, artists or representatives.
Kryptickets may control or participate in the defence of any claim that may give rise to an indemnity. The Promoter must not settle any claim in a way that affects Kryptickets without Kryptickets’ prior written consent.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, any liability that cannot legally be limited or excluded, or payment obligations owed by the Promoter to Kryptickets.
Subject to the above, Kryptickets shall not be liable for loss of profit, sales, revenue, business, goodwill, reputation, opportunity or anticipated savings; loss of data; indirect or consequential loss; wasted expenditure; Event cancellation costs; artist, venue, production, staffing or supplier costs; Buyer travel, accommodation or associated costs; or any loss arising from the Promoter’s breach of these Terms.
Subject to the above, Kryptickets’ total aggregate liability to the Promoter in connection with these Terms, the Platform, the Services and any Event shall not exceed the total Booking Fees retained by Kryptickets in respect of the relevant Event giving rise to the claim. If no Booking Fees have been retained in respect of the relevant Event, Kryptickets’ total aggregate liability shall not exceed £100.
These limitations and exclusions apply whether liability arises in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution or otherwise.
Kryptickets may suspend or terminate the Promoter’s account, remove Events, pause Ticket sales, withhold Settlement or restrict access to the Services immediately if: the Promoter breaches these Terms; fails verification checks; fraud or unlawful activity is reasonably suspected; excessive complaints, Refunds or Chargebacks arise relating to the Promoter; the Promoter fails to fund Refunds; an Event is cancelled, postponed or materially changed; required licences, permissions or insurance are not provided; the Event is reasonably considered unsafe, unlawful or reputationally harmful; a payment provider requires suspension; Kryptickets is required to do so by law, regulator, court or authority; or suspension is reasonably considered necessary to protect Kryptickets, Buyers or the public.
Either party may terminate these Terms on written notice where there are no live Events, outstanding Settlements, unresolved Refunds, Chargebacks, complaints or other liabilities.
Termination does not affect accrued rights, payment obligations, Refund obligations, Chargeback obligations, indemnities, data protection obligations, confidentiality obligations, limitations of liability, or any clause intended to survive termination. Following termination, Kryptickets may retain records and personal data as required for legal, accounting, audit, fraud prevention, dispute resolution and legitimate business purposes.
Each party must keep confidential any confidential information disclosed by the other party, including commercial arrangements, pricing discussions, settlement information, technical information, customer information, business plans, security procedures, non-public Platform information, and any information marked or reasonably understood to be confidential.
Confidentiality obligations do not apply to information that is public other than through breach, was already lawfully known, is independently developed, is lawfully received from a third party, or must be disclosed by law, regulator, court or authority.
Kryptickets is not liable for delay or failure to perform caused by circumstances beyond its reasonable control, including internet or hosting failure, cyberattack, payment provider failure, power or telecommunications failure, strikes, labour disputes, war, terrorism, civil unrest, epidemic or pandemic, fire, flood, extreme weather, government or regulatory action, court order, supplier failure, or acts or omissions of the Promoter, venue, artist, supplier or Buyer.
The Promoter remains responsible for Refunds where an Event is cancelled, postponed or materially changed due to force majeure unless applicable law provides otherwise.
Kryptickets may send notices to the Promoter by email, promoter dashboard notification, account message, website notice or post. The Promoter must send formal notices to Kryptickets at krypticket01@gmail.com or such other address notified by Kryptickets. Notices sent by email are deemed received at the time of sending unless the sender receives a delivery failure notification. The Promoter must keep its contact details up to date.
The Promoter may not assign, transfer, subcontract or deal with its rights or obligations under these Terms without Kryptickets’ prior written consent. Kryptickets may assign, transfer, subcontract or novate its rights and obligations to any group company, successor, purchaser of its business, payment provider or service provider.
Kryptickets may update these Terms from time to time, and will notify Promoters of material changes by email, dashboard notification or website notice. Continued use of the Platform after updated Terms take effect constitutes acceptance of the updated Terms.
If the Promoter does not agree to updated Terms, the Promoter must stop using the Platform. Kryptickets may allow existing live Events to continue subject to the previous Terms or may require the Promoter to accept the updated Terms as a condition of continued listing.
These Terms, together with any agreed Sponsored Feature terms, Event-specific terms and policies referenced in these Terms, constitute the entire agreement between the parties in relation to the Services. The Promoter acknowledges that it has not relied on any statement, representation, assurance or warranty not set out in these Terms. Nothing in this clause excludes liability for fraud or fraudulent misrepresentation.
If any provision of these Terms is invalid, unlawful or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, lawful and enforceable. If modification is not possible, the relevant provision shall be deemed deleted. The remaining provisions shall continue in full force and effect.
A delay or failure by Kryptickets to enforce any right under these Terms does not amount to a waiver. A waiver must be in writing and applies only to the specific circumstances for which it is given.
Except for Kryptickets’ directors, officers, employees, contractors, agents, group companies, payment providers and partners who may rely on the indemnities and limitations in these Terms, no person other than the parties has rights under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
